Shipper Pre-Filing Settlement Meeting Notice Privileged and Confidential For Settlement Purposes Only Subject to Settlement Privilege and Rules 601 and 602 To all Shippers,
In accordance with the settlement in Stingray Pipeline Company, L.L.C.’s (“Stingray”) last rate case, Docket No. RP11-1957, Stingray is required to make a rate change filing at the Federal Energy Regulatory Commission (“FERC”) under Section 4 of the Natural Gas Act (“Stingray’s Filing”) to place new rates into effect by July 1, 2017. Prior to Stingray’s Filing with the Commission, Stingray plans to enter into discussions with Shippers (the “Stingray Pre-Filing Settlement Discussions”) for the purpose of developing an offer of settlement to satisfy its obligation to make a rate change filing (“Stingray’s Pre-Filing Settlement”). To initiate these discussions, Stingray plans to hold a meeting with interested Shippers on Tuesday, May 17, 2016, at 10:00 a.m. Central Daylight Time at a hotel in Downtown Houston TBD.
Participation in the Stingray Pre-Filing Settlement Discussions and access to and use of materials and information pertaining to those discussions will be limited to individuals and their respective companies that enter into and agree to abide by the attached Confidentiality Agreement. Stingray believes that the Confidentiality Agreement is required to enable an open exchange of views and information between the parties to maximize the chances of reaching a settlement. This Confidentiality Agreement is intended to protect the discussions, information and documents produced in this settlement process and restrict the use thereof for purposes of the Stingray Pre-Filing Settlement Discussions. Notwithstanding the fact that no proceeding has yet been initiated at the FERC with regard to these matters, the Confidentiality Agreement provides that the protections afforded by Rules 601 and 602 will apply to confidential information made available through this process. Stingray intends to establish a secure website where it will provide an electronic data room with information to facilitate settlement discussions.
Shippers interested in participating in the Stingray Pre-Filing Settlement Discussions and attending the May 17, 2016 meeting should complete and sign the Confidentiality Agreement listed below.
Stingray Pre-Filing Settlement Discussions Confidentiality Agreement
Once completed, please email to Emily Mallen at ERP@VNF.COM along with a list of attendees for the meeting by Tuesday, May 3, 2016. Upon full execution of the Confidentiality Agreement, the signing party will have the ability to designate Authorized Representatives to access and use the secure website by providing the user name, company name, party represented, email address and phone number by email to Emily Mallen. Stingray anticipates that the Authorized Representatives will be able to access the secure website following the May 17, 2016 meeting.
