Terms/Notes:
The Rate Chgd herein apply only to the services described above,
including without limitation, the quantities, locations, and terms
stated above; all other services will be provided at maximum Tariff
rates, including any applicable Fuel Use, LUFG and surcharges.
Max Trf Rate and Rate Chgd expressed as blended rates
derived by adding the Commodity Charge and the unitized
Reservation Charge, calculated on an assumed 100% load factor
basis based on K Holder's K Qty-K, unless otherwise stated.
K Holder pays Reservation Charge regardless of quantities
transported.
After Contract Duration/Entitlement End Date, transaction continues
year-to-year unless and until terminated by written notice given by
either party to the other party at least 180 days prior to the end of
the primary term or any extended term thereafter.
Overrun quantities at maximum rates unless otherwise agreed.
Compressor Usage Surcharge (CUS), if applicable, is subject to change
semi-annually and/or subject to FERC approval.
Service Commencement Date: November 1, 2024
Primary Term End Date:
The end of Period 2 as defined below; provided however that if
the ANR Primary Delivery Point (as described below) is not
placed in-service by May 1, 2025, then this Agreement shall
terminate as of such date, unless Transporter and Shipper
have otherwise agreed in writing
Contract Demand (Dth/D): 50,000 Periods 1 and 2
Period 1:
November 1, 2024 through the end of the Month in which the
proposed ANR Primary Delivery Point is placed in-service,
and Transporter is able to tender for delivery Shipper's
Maximum Delivery Obligation at such ANR Primary
Delivery Point
Period 2: The first Day of the Month following the Month in
which the ANR Primary Delivery Point is placed in-service,
and Trnasporter is able to tender for delivery Shipper's
Maximum Delivery Obligation at such ANR Primary Delivery
Point, through the end of the Day four (4) years
thereafter
Primary Delivery Point:
PEPL @ CUSTER DEL (Meter No. 3068) 50,000 Dth/D Period 1 only
Proposed point of interconnection to be constructed
between Transporter and ANR Pipeline Company in
Custer County, Oklahoma (the "ANR Primary Delivery Point")
50,000 Dth/D Period 2 only
In accordance with Section 21.1 of the GT&C of the Tariff,
the parties hereby agree that Shipper shall have a
contractual "right of first refusal" ("ROFR") applicable
during Period 2 only which will provide to it the same
rights and obligations regarding extending service under
the Agreement as to reserved capacity on Transporter's
system beyond the termination or expiration date as
would be available to Shippers eligible to invoke the
provisions of Section 21 of the GT&C of the Tariff, as on
file and in effect from time to time.
This Agreement is subject to the collateral or credit
provisions as follows:
If during the Primary Term of this Agreement Shipper
fails to demonstrate creditworthiness as set forth in
Transporter's Tariff, Shipper shall provide a deposit or
otherwise furnish good and sufficient security, as
determined by Transporter in its reasonable discretion,
which at all times shall be sufficient security to cover
up to the lesser of (i) two years of Reservation charges
under the Agreement, or (ii) the total Reservation charges
owed for the remainder of the Primary Term of this Agreement.
