semi-annually and/or subject to FERC approval.

Description of Rates:
A. The rates which Transporter shall bill and Shipper shall
pay under the Agreement for services up to Contract Demand
(as in effect on the Effective Date hereof) shall be
achieved by discounting, if required, Transporter's then-
effective maximum Daily Reservation Charge to $0.6600 per
Dth for the capacity reserved at the Primary Delivery Point
specified above. The Reservation Charge amount due each
Month shall be calculated by multiplying the specified
Daily Reservation Charge by the applicable Demand
Determinant (MDO divided by the Swing Ratio specified
above) times 30.41667, regardless of the quantity of
gas transported during the Service Month. Shipper
shall also pay the maximum applicable Commodity Rate
(which includes EPC) for quantities delivered to the
Primary Delivery Point and the following Secondary
Delivery Points, which qualify for the rate set forth
above:
All Core Perryville Hub Delivery Points located in the
South Pooling Area, including:
TGT PV CORE DEL (Meter No. 801532) and
MIDLA CORE DELIVERY (Meter No. 206130)
TET @ BALD KNOB, AR DEL (Meter No. 801641)
NGPL @ HOT SPRINGS DEL (Meter No. 801662)
ENTERGY HOT SPRING (Meter No. 806125)
Pursuant to Section 5.4, (a)(iv), GT&C of the Tariff,
in accordance with Tariff capacity allocation procedures;
and subject to the availability of firm capacity, Shipper
may request a change in its Primary Delivery Point if
ENTERGY @ CATHERINE (Meter NO. 801502) is determined to
be no longer in operation.
B. Pursuant to Section 5.1 (a)(i)(5), GT&C of the Tariff,
in accordance with Tariff capacity allocation procedures;
and subject to the availability of firm capacity, Shipper
may request a one-time change in its Primary Receipt
Point(s) to a Receipt Point located East of Transporter's
Chandler compression station in the Neutral Pooling Area,
with a Maximum Receipt Obligation equal to Shipper's then-
current Receipt Entitlement in the Neutral Pooling Area.
The Receipt Point(s) eligible for the rates specified
herein shall be:
(1) those listed in Section 3 of the Agreement
(as in effect from time to time during its term),
and
(2) all generally available Receipt Points and
Pools in the South, North, and Neutral Pooling
Areas
to the extent such points are located, and such
Pools contain only gas sourced, East of Transporter's
Chandler compression station.
C. If, during the term of this Agreement, Shipper
submits and receives confirmation of a receipt
nomination at any Receipt Point described below,
then Shipper's Daily Reservation Charge shall be
adjusted to the maximum Daily Reservation Charge
under Rate Schedule EFT for the Swing Ratio specified
in Section 3 above to the extent of such confirmed
receipt nominations.
SCISSORTAIL ENERGY, LLC (Meter No. 12355)
MARKWEST GATHERING SYS (Meter No. 810004)
Term of Rate:
Begin Date(s): April 1, 2024
End Date(s): The end of the Day on December 31, 2026
Authorized Overrun:
Any daily authorized overrun quantities transported
between the eligible points specified in (a)(ii) A.
and B. above shall be charged a rate equal to $0.2200
per Dth. Any hourly authorized overrun quantities
transported between the eligible points specified in
(a)(ii) A. and B. above shall be charged a rate equal
to $0.4400 per Dth.
Other Provisions:
Pursuant to Section 21.10, GT&C, of the Tariff, the
parties have agreed to an extension of the term with
respect to part of the capacity committed under the
Service Agreement being amended and extended.
In accordance with Section 21.1 of the GT&C of the
Tariff, the parties hereby agree that Shipper shall
have a contractual "Right of First Refusal" (ROFR)
which will provide to it the same rights and obligations
regarding extending service under the Agreement as to
reserved capacity on Transporter's system beyond the
termination or expiration date as would be available to
shippers eligible to invoke the provisions of Section
21 of the GT&C of the Tariff, as on file and in effect
from time to time.
Certain capacity under this Agreement is subject to the
Pre-Arranged Service procedures set forth in Section 10.4,
GT&C of the Tariff. Accordingly, the capacity commitment
is subject to the outcome of the bidding process and, if
necessary, Shipper election to exercise its matching rights,
all as provided in Section 10.4. If such procedures
require modification of the terms hereof, then the parties
shall enter into such amendments to this Agreement as
necessary; otherwise, the terms of this Agreement shall
continue in effect and bind both parties.
